Terms of Service

Important information about participating in psilocybin services

We want you to enter your experience with a clear understanding of what psilocybin services involve, how Meadow works, and the responsibilities we each have along the way.

This agreement explains the known risks of psilocybin services, Meadow’s role, what happens in the unlikely event of an emergency, our cancellation and privacy policies, and several important legal terms. Some of the language is necessarily formal, but our goal is straightforward: to make sure you have the information you need to make an informed choice about participating.

Please take the time to read each section carefully. If anything is unclear or raises a concern, we encourage you to ask questions before signing.

This Client Agreement is between you (“Client”), Meadow Holdings LLC (“Meadow”), and each person acting on Meadow’s behalf. Meadow requires this agreement before providing non-medical advisory review for you in Oregon. This agreement takes effect when you sign it.

1. Understanding the risks of psilocybin services

Psilocybin can produce significant changes in perception, emotion, thinking, and physical sensation. Most effects are temporary, but psilocybin services are not without risk, and some reactions can be serious.

Possible risks include physical or psychological distress, injury, pain, increased suggestibility, derealization, altered states, or other changes in mental or physical functioning. In very rare circumstances, serious or lasting harm may occur, including temporary or permanent physical or psychological disability or death.

The Oregon Health Authority’s informed consent form describes additional risks associated with psilocybin services, which you should also review.

These risks cannot be eliminated completely, even when appropriate precautions are taken. Risks remain even when:

  • Everyone complies with Oregon law and applicable regulations.
  • You complete preparation sessions, the client information form, and your safety, support, and transportation plans.
  • Meadow, facilitators, or their representatives do not disqualify you from participating.
  • The psilocybin product complies with Oregon law.

Risks may also arise from, or be compounded by, the acts, omissions, or negligence of Meadow, Meadow Representatives, facilitators, other participants, emergency responders, or third parties.

Your participation is voluntary. By choosing to participate in psilocybin services, you acknowledge and voluntarily assume these risks.

2. Understanding Meadow’s role

Meadow provides education, coordination, preparation and integration support, and non-medical advisory review as part of your psilocybin experience.

Under Oregon’s regulated psilocybin framework, these services are distinct from medical care. Your participation with Meadow does not establish a physician-patient or other healthcare-provider relationship with Meadow or any Meadow Representative.

Meadow’s non-medical advisory review is limited to supporting compliance with Oregon law, including ORS Chapter 475A and OAR Chapter 333, Division 333.

Meadow does not conduct a medical examination or review your complete medical history. In connection with these services, Meadow does not:

  • Practice medicine, psychology, naturopathy, occupational therapy, or another clinical discipline.
  • Create a physician-patient or other healthcare relationship.
  • Assess, diagnose, treat, or cure any disease, condition, or injury.
  • Prescribe, endorse, or recommend any substance or course of action.

Nothing in this program constitutes medical care or replaces advice from your physician or another licensed healthcare provider. Final decisions about your medications remain between you and your healthcare provider.

Decisions regarding your participation in psilocybin services, product selection, and dosage are made by you in conjunction with Meadow, your facilitator(s), and center representatives.

Psilocybin product purchases

Meadow does not sell psilocybin products. Your psilocybin product is purchased separately from the licensed service center entity.

The service center determines product pricing, and product costs are not included in Meadow’s program fees. Product fees vary based on dose, strength, and availability and are paid separately in cash to the service center entity on your administration day.

All required fee disclosures are provided before payment is processed, in accordance with Oregon Health Authority requirements.

3. Emergency care and your safety

Your safety is important to us. Although emergencies are uncommon, psilocybin can sometimes produce unexpected physical or psychological reactions that require additional evaluation or support.

If Meadow, its facilitators, contractors, employees, or representatives reasonably believe that emergency medical evaluation, treatment, transportation, or another emergency intervention is necessary to protect your health or safety, or the health or safety of another person, Meadow may contact emergency medical services (EMS) or another appropriate emergency responder.

Whenever circumstances reasonably allow, we will attempt to communicate with you about what is happening and why. In an emergency, however, circumstances may require immediate action without prior notice or consent.

Meadow does not itself provide emergency medical care. Any emergency evaluation or treatment is provided by independent healthcare providers or emergency responders who are not employees, agents, or representatives of Meadow.

Financial responsibility for outside medical care

You are responsible for costs associated with emergency or non-emergency medical evaluation, treatment, transportation, or follow-up care you receive, regardless of whether those services are initiated by you, Meadow, a facilitator, EMS, or another third party.

These costs may include:

  • Ambulance or other medical transportation.
  • Emergency department or hospital services.
  • Physician, specialist, or nursing services.
  • Medications.
  • Laboratory testing or diagnostic imaging.
  • Mental health services.
  • Rehabilitation.
  • Follow-up medical care.
  • Other healthcare-related expenses.

Meadow is not responsible for paying, reimbursing, or assuming liability for these expenses, whether or not they are covered by your health insurance. You are responsible for determining your insurance coverage and satisfying any financial obligations associated with care you receive.

Nothing in this section limits any responsibility Meadow has under applicable law or waives liability that cannot legally be waived.

4. Cancellations, rescheduling, and refunds

We understand that plans and circumstances can change. Because your program reserves clinical, facilitator, and service center resources specifically for you, the following policies apply to cancellations, rescheduling, missed sessions, and refunds.

Program cancellations and refunds

A cancellation means that you are withdrawing from your current Meadow program rather than moving your sessions to new dates.

If you choose to cancel your program, your refund is determined by the services you have already received and how close you are to your scheduled journey:

  • Before your first session (e.g., Medication Consultation or Preparation Session 1): You will receive a full refund.
  • After the Medication Consultation (if applicable): $500 of your program fee becomes non-refundable. The remaining balance will be refunded.
  • After Preparation Session 1: An additional $500 becomes non-refundable, bringing the total non-refundable amount to $1,000 if you have completed both the Medication Consultation and Preparation Session 1. If you completed only Preparation Session 1, $500 is non-refundable. The remaining balance will be refunded.
  • After Preparation Session 2: 50% of your total program fee becomes non-refundable. The remaining 50% will be refunded.
  • On or after your scheduled journey date: Your entire program fee becomes non-refundable, and no refund will be issued.

Cancellation ends your current enrollment. Any future participation in a Meadow program will require a new enrollment and will be subject to the program pricing and eligibility requirements in effect at that time.

Only one cancellation provision applies. If more than one provision could apply, the provision corresponding to the furthest stage of the program you have reached will determine your refund.

Rescheduling virtual preparation and integration sessions

For individual virtual preparation and integration sessions:

  • You may reschedule each session one time at no charge when you provide at least 24 hours’ notice.
  • After the complimentary reschedule has been used for that session, each additional reschedule is subject to a $50 rescheduling fee.
  • A reschedule made with less than 24 hours’ notice or a no-show is subject to a $125 late rescheduling/no-show fee.
  • The $125 late rescheduling/no-show fee replaces, rather than adds to, the $50 rescheduling fee for the same occurrence.

Any applicable fee must be paid before the replacement session is confirmed.

Rescheduling your in-person experience

Your in-person experience includes your in-person preparation session, journey, and in-person integration session. These dates are reserved together as a coordinated block.

A reschedule means that you intend to remain enrolled in your existing Meadow program and move your in-person experience to new dates.

  • More than 14 calendar days before your scheduled journey: You may reschedule your in-person experience one time at no charge, provided Meadow receives your request more than 14 calendar days before your scheduled journey. New dates are subject to availability.
  • 14 calendar days or fewer before your scheduled journey: Rescheduling your in-person experience is subject to a $750 rescheduling fee.
  • Additional rescheduling: After you have used your one complimentary in-person reschedule, any subsequent rescheduling of the in-person experience is subject to a $750 rescheduling fee, regardless of when the request is made.

Any applicable rescheduling fee must be paid before Meadow reserves new dates.

Rescheduling preserves your existing enrollment and program payments. If you instead choose to withdraw from the program, the Program Cancellations and Refunds policy above applies.

Cancellation and rescheduling fees are not combined for the same occurrence.

Emergencies and exceptional circumstances

We recognize that circumstances outside your control can make attendance impossible. Meadow may waive or modify a cancellation or rescheduling fee in circumstances such as hospitalization, serious acute illness or injury, death in the immediate family, severe weather or significant travel disruption, or another comparable unforeseen event.

Exceptions are determined by Meadow, rather than by an individual facilitator. Meadow may request reasonable documentation when appropriate.

Approval of an exception in one circumstance does not guarantee an exception in another.

Clinical or safety-related changes

Meadow may postpone, modify, or decline services when our clinical team determines that proceeding as scheduled would not be appropriate for your health or safety.

If Meadow initiates a postponement or schedule change for clinical or safety reasons, you will not be charged a rescheduling fee.

If a clinical or safety concern results from information that was not reasonably known before enrollment despite accurate and complete disclosure by the client, Meadow will determine whether the appropriate resolution is rescheduling, a program credit, or a full or partial refund based on the circumstances and services already provided.

If a client does not accurately or completely disclose information requested during screening, enrollment, or the health intake that would have affected eligibility or Meadow’s ability to provide services safely, Meadow may postpone, modify, decline, or discontinue services. Any refund will be determined based on services already provided and resources already reserved.

Payment of fees

By enrolling in the program, you acknowledge and agree to this cancellation, rescheduling, and refund policy.

When permitted by your payment authorization, applicable rescheduling, late cancellation, or no-show fees may be charged to the payment method on file. If Meadow does not have authorization to charge the payment method on file, payment of the applicable fee will be required before replacement sessions or journey dates are reserved.

Refunds will be issued to the original payment method whenever possible.

All required fee disclosures are provided before payment is processed in accordance with applicable Oregon Health Authority requirements.

5. Recording virtual sessions

To support accurate note-taking, team training, and coordination among the Meadow staff involved in your care, virtual sessions are recorded. This includes intake consultations, preparation sessions, and integration sessions.

We take the privacy of these recordings seriously. Recordings are:

  • Stored in encrypted, access-controlled systems.
  • Shared only with service providers who help us transcribe or store them, under confidentiality obligations.
  • Retained for no longer than 6 months before secure deletion.
  • Deleted upon your request within 10 business days.

When session notes are generated, the notes are intentionally designed to omit personal or identifying details and instead capture broader, abstract themes relevant to your experience and care.

To protect everyone's privacy, clients, staff, and contractors may not independently record, share, or capture sessions without authorization.

6. Payment Method Authorization

By providing a payment method to Meadow, I authorize Meadow to securely store my payment method through its payment processor and to charge it for:

  1. Program fees and scheduled payments that I have agreed to as part of my enrollment; and
  2. Cancellation, rescheduling, and no-show fees that I incur under the Cancellations, Rescheduling, and Refunds Policy

Meadow will not charge both a cancellation fee and a rescheduling fee for the same occurrence.

Before charging my payment method for an unplanned cancellation, rescheduling, or no-show fee, Meadow will notify me of the amount being charged and the reason for the charge.

I understand that providing this authorization does not change Meadow’s Cancellations, Rescheduling, and Refunds Policy or permit Meadow to charge fees beyond those I have agreed to.

If my payment method is declined or no longer valid, I remain responsible for amounts due under my agreement. When an applicable rescheduling or no-show fee remains unpaid, Meadow may require payment before confirming replacement sessions or journey dates.

I may revoke authorization for future charges by notifying Meadow in writing. Revocation will not affect charges already processed or amounts I already owe under my agreement, and I may be required to provide another payment method for any remaining scheduled program payments.

I confirm that I have read and agree to this Payment Method Authorization and authorize Meadow to charge my payment method as described above.

7. Legal terms

This final section contains important legal provisions, including a release of certain claims and an agreement to resolve disputes through binding arbitration.

Please read this section carefully. By accepting these terms, you are giving up certain legal rights, including the right to have covered disputes decided by a jury.

Release of liability

To the fullest extent permitted by law, you waive and release Meadow, each Meadow Representative, and Meadow’s shareholders, directors, officers, members, managers, employees, contractors, agents, and other representatives (collectively, the “Released Parties”) from any and all claims, actions, proceedings, damages, liabilities, and expenses, whether known or unknown, arising out of:

  • Any Psilocybin Services.
  • Any psilocybin product you consume.
  • The service center(s) where Psilocybin Services are provided.
  • Your actions before, during, or after the services, whether on or off the premises.
  • Any act, omission, or ordinary negligence of Meadow or another Released Party, including a Meadow Representative who did not advise that you be disqualified.
  • Any act, omission, or negligence of the service center operator or its representatives, other participants, emergency responders, or another third party.

You agree not to sue or initiate a proceeding against Meadow or another Released Party with respect to these claims.

Governing law and arbitration

This agreement is governed by Oregon law.

Disputes will be resolved through binding arbitration before a single arbitrator in Portland, Oregon, in accordance with ORS 36.600–36.740 and other applicable law.

By accepting this agreement, you acknowledge that you are waiving your right to have covered disputes decided by a jury, to the extent permitted by law.

Courts in Multnomah County, Oregon, may compel arbitration or grant interim relief as permitted by law. The prevailing party in any arbitration or litigation may recover reasonable attorney fees and costs to the extent permitted by law, including applicable provisions of ORCP 68.

General terms

This agreement is binding upon the parties and their respective heirs, representatives, successors, and permitted assigns.

This agreement may be amended only through a written record accepted by both you and Meadow, including through electronic means.

If any provision of this agreement is found to be unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

This agreement may be accepted electronically without a handwritten signature or a separate electronic signature. Electronic records of acceptance may be retained as evidence of the agreement.

This agreement constitutes the entire agreement between you and Meadow regarding its subject matter and supersedes all prior oral or written agreements concerning that subject.

Client acknowledgment and acceptance

By selecting "I Agree," I acknowledge that I have had the opportunity to read and understand this Client Agreement, including its binding arbitration provision, and voluntarily agree to its terms. I understand that my electronic acceptance constitutes my agreement to these terms without requiring a handwritten or separate electronic signature.
